This agreement is made as of this day by NON-STOP CONSULTING and between your company (Client's Company Name), licensed by the FMCSA as an interstate carrier hereinafter referred to as "The Client". The client desires to retain NON-STOP CONSULTING to find freight for your trucking business. NON-STOP CONSULTING and The Client have, upon due consideration, determined that an agreement to their mutual advantage and best interest has been formed, and thereby agree to the terms and conditions listed within this agreement.


Prior to the implementation of this agreement, The client must provide NON-STOP CONSULTING, the following documents:

  • Carrier Agreement

  • Copy of Owner's Drivers License

  • Copy of Drivers Drivers License

  • Copy of the Client's Authority (MC Permit)

  • W-9 Form

  • Proof of Insurance Certificates

  • Access to factoring

  • Access to ELD



1. RELATIONSHIP

The relationship between NON-STOP CONSULTING and The Client shall always be that of an independent contractor. NON STOP CONSULTING shall be the agent working on behalf of The Client to seatch for loads, book them, dispatch, and handle all paperwork directly with the brokers and or shipper.


2. RATE AGREEMENT

10 % PER LOAD Dry Van, Flatbed, Hotshot, Power Only, Reefers and Box Truck


Dedicated Lanes: All dedicated lanes obtained buy NON-STOP CONSULTING  are subject to the flate rate of 10 % for the duration of the length of this contract between NON-STOP CONSULTING  and The Client.


NON-SOLICITATION:


The Client agrees not to solicit traffic from any shipper, consignor, or customer of NON-STOP CONSULTING dispatch service where the carrier transports loads, or is made aware of such traffic, as a result of NON-STOP CONSULTING  dispatching efforts. It is further agreed that this non-solicitation provision shall be in force and effect during the term of this AGREEMENT and for a period of one (1) year from the date of the termination of this AGREEMENT for any reason. In the event of non-compliance with the specific provisions of this paragraph, CLIENT upon discovery of breach will be liable to NON-STOP CONSULTING one hundred percent (100%) of the gross transportation revenue received by THE CARRIER from the said shipper(s) within one (1) year after the date of termination of this agreement.


3. TERM

The term of this Agreement shall be effective upon the date signed by both parties to this Agreement. It shall continue after that for a term mentioned in the exclusivity clause, and automatically from week to week after that, subject to the right of either party hereto to cancel the Agreement at any time upon not less than 48 hours written notice by one party to another.


4. STATEMENT OF WORK

NON-STOP CONSULTING's objective is to design a proactive logistics plan based on the Client’s territorial preference. The plan is influenced by the current market and/or region situation to take advantage of the most profitable loads. NON-STOP CONSULTING carrier consultants (dispatchers) will find loads that best match the client’s preferences and will communicate such options with the Client and /or its driver(s). Once the client agrees to accept the load, NON-STOP CONSULTING will send all necessary supporting documents to the broker/shipper. Once the rate confirmation is received, it will be forwarded to the Client for their records.

NON-STOP CONSULTING agrees to:

  • A. Find freight that best matches the profile for the client.

  • B.Contact the Client with load matches and go over options.

  • C.Book loads on the client’s behalf.

  • D. Upon the Client agrees to the load,NON-STOP CONSULTING will fax/send to the shipper/broker the Client's Certificate of Authority, W-9, Certificate of Insurance, and order certs of insurance, if necessary, along with any other required supporting documents.

  • E. Provide the driver with all dispatch instructions for pickup, transit, and delivery.

  • F. Assist with any problems that arise in the transit of the load within our capabilities. The Client is responsible for its own equipment. We will put forth our best effort to direct the Client to a service that might be of help.

  • G. Handle setting of appointments, if necessary.

  • H. Hold on to the dispatch, accessorial information, etc, until the load is completed. Once completed, NON-STOP CONSULTING will email or fax all documents to the Client.

  • I. Upon forwarding the final load confirmation, Bill of Lading, and any other required documents for the current load to the client, Non-Stop Consulting has fully performed its services.



ADDITIONAL PROVISIONS

Once service has concluded it will be the responsibility of the client to handle directly with the shipping party overages, shortages, damages, or billing and collections issues unless you have made arrangements for additional services from NON-STOP CONSULTING.


In no event will NON-STOP CONSULTING be liable for any incidental, consequential, or indirect damages for the loss of profits, or business interruption arising out of the use of the service.


The client specifically agrees that all freight tendered to it by NON-STOP CONSULTING’s dispatch services shall be transported on equipment operated only under the authority of the Client and that the Client shall not in any manner sub-contract, broker, or in any other form arrange for the freight to be transported by a third party without the prior written consent of NON-STOP CONSULTING authority, insurance, client profile or ownership.


Client agrees to provide, operate, and maintain in good working condition, motor vehicles and all allied equipment necessary to perform the transportation schedule in a safe, efficient, and economical manner.


Client agrees to provide properly qualified, trained, and licensed drivers to perform the transportation and related services under this Agreement and each transportation schedule in a safe, efficient, and economical manner. Client personnel are expected to always conduct themselves in a professional manner. And shall ascertain and comply with all the Customer’s facility rules and regulations when on the Customer’s premises.


NON-STOP CONSULTING will work within the established parameters of the client's Company/Carrier profile.NON-STOP CONSULTING will notify the client of best-matched loads and will provide a full level of communication with said Client. Client agrees to allow NON-STOP CONSULTING to book loads without prior approval, with the understanding that NON-STOP CONSULTING will only book loads that are in the best financial interest of said Client.


NON-STOP CONSULTING will notify the client of load-required qualifications or additional insurance, if necessary. NON-STOP CONSULTING will furnish the Client with the necessary information for the qualification of insurance required.


The Client agrees that they will advise NON-STOP CONSULTING in a timely fashion should the Client not be available for dispatch more than one (1) day at a time. (If the client is not working for any amount of time, please let us know ASAP so that we do not plan any loads for the Client’s truck.)

INDEMNIFICATION

The Client agrees to indemnify, defend, and hold NON-STOP CONSULTING and its customer (including their officers, directors, emploees, subcontractors, and agents) harmless from and againsit any and all liabilities, damages, fines, penalities, costs, claims, demands and expenses. The Client shall be responsible for and agrees to indemnify GNON-STOP CONSULTING from ANY AND ALL; personal injury, property damage,loss, claim, injury, obligation, or liability arising from The Client's actions pursuant to this Agreemtn.



DISCLAIMER

NON-STOP CONSULTING is NOT responsible for:

  • Billing Issues

  • Lumper or Escort Fees

  • Fuel or Driver Advances

  • Factoring or Equipment Issues

  • Load problems (including but not limited too loading and unloading problems or issues delays, overages, shortages, and damage)

  • Cancelled Loads from brokers or shippers

  • Accidents or Audits

  • Advances. (All advances will have to be handled directly between Client and shipper/broker unless requested by Client.) Handling and storage of paperwork. (All documents will be sent to the Client unless other arrangements are made)

  • DOT compliance issues

  • Truck maintenance

  • Driver mishaps

  • Hours of Service

  • Load securement

  • Spike Insurance
